LICENSING TERMS AND CONDITIONS

Footage clip(s): All visual representations furnished to Licensee by Licensor.

Rights: The copyrights to the Footage clips remain the exclusive property of Licensor. No rights to the Licensed Use listed are transferred to Licensee until Licensor has received the License Fee in full. Licensee and its principals, employees, agents, and affiliates are jointly and severally liable for paying the License Fee to Licensor and for other obligations of this License. Regardless of the original length of Footage Clip, a maximum of 15 seconds of the original Footage Clip may be used on-screen unless express written consent has been provided by Licensor. The Licensed Use is granted for use one-time in one single project; any additional projects or uses requires a separate License. The only rights for use of the Footage clips granted to the Licensee are those specifically set forth in this License. All other rights are reserved by Licensor.

Releases: Unless otherwise specifically stated, no model or property release exists for the Footage clips. Licensee assumes sole responsibility to determine whether model and/or property releases are required by law and whether any releases provided by Licensor are appropriate for Licensee's use of the Footage clips.

Indemnification: Licensee will indemnify, hold harmless, and defend Licensor against all claims, liability, damages, costs, and expenses, including reasonable legal fees and expenses, arising from any use of the Footage clips by Licensee.

Footage Credit: Where applicable, Licensee will ensure that all published uses of the Footage clips will be accompanied by a credit for Additional Footage, Timelapse Footage, or similar ("Footage Credit").

Transfer and Assignment: Licensee may not assign, transfer, or sublicense this License or any rights granted under it, in whole or in part, whether voluntary or by operation of law, without the express written consent of Licensor.

Waiver: No amendment or waiver of any terms of this License is binding unless set forth in writing and signed by the Licensor.

Refunds: No refunds of the License Fee will be provided once a license agreement is active. In the event of a mistake made by Licensee during the order process, Licensor may, at Licensor's sole discretion, annul the agreement and provide a credit toward a new and valid Licensed Use.

Warranty and Liability: The Licensor represents and warrants that the Licensor is the copyright owner of the Footage clips and that the Licensor has not granted any rights in the Footage clips that would permit a third party to raise a claim against the Licensee for the Licensed Use. Licensor's liability for all claims by Licensee shall not exceed the License Fee. Licensor shall not be liable for any general, special, direct, indirect, consequential, incidental, or other damages arising out of Licensee's use of the Footage clips.

Disputes: Any dispute regarding this License shall, in Licensor's sole discretion, either: (1) be arbitrated in California under rules of the American Arbitration Association and the laws of California; or (2) be adjudicated in California under the laws of the United States and/or of California. Judgment on any arbitration award may be entered in any court having jurisdiction.

Data collection, storage and processing of personal data: chrispzero Inc. may collect, store, process and transmit user data in order to fulfill any aspect of providing service, to guarantee that chrispzero Inc. complies with applicable laws, and to protect the legitimate business interests of chrispzero Inc.. The collection of personal information submitted by users is a mandatory requirement in the use of the chrispzero Footage Store. We do not store payment card numbers. Collected personal data is stored on servers located in Europe. Extensive security safeguards are in place to protect the data against unauthorized access and abuse. The software used on the servers is frequently updated to stay abreast of the latest computer security developments.

Access to personal information and sharing with 3rd parties: Access to personal information that can be linked to a specific individual is limited to authorized chrispzero Inc. staff and staff of the hosted service provider (including potential authorised external contractors). chrispzero Inc. will not transmit personal information to third parties unless explicitely permitted by the individual, due to legal obligations, or when it is an obvious requirement in fulfilling the service.
